- the role of taxation as a value driver for the Valution of a company

Lecture 4
Mergers and Acquisitions – Anatomy of a Merger – Titus Bocseri
- the course will seek to apply basic finance principles and analytical techniques to actual problems likely to be encountered by management of major corporations or those who are the advisors to such management in the context of an M&A transaction. At the conclusion of the course, the participant will have gained an appreciation for the role M&A plays on today's corporate landscape and have formed an opinion as to whether or not an M&A transaction "makes sense" for the firm.

- whether or not the participant "practices" M&A, the course will afford the participant with an insider's look into what is an undeniable major force on today's corporate landscape.

Financial Markets (an introduction); Index interpretation – Cristian Busu
- this course is designed to explain the characteristics of financial markets, their role and particularities; an important part of the course should be the allocated to international index interpretation; the seminar should provide students with examples and a homework;
- market efficiency: principles of market efficiency

SECOND WEEK:

Fundamentals of Business Analysis and Valuation – Alex Popa HBS

- accouting (how to transform the Balance Sheet in a way that provides correct inputs for the Valuation)
- estimating value drivers and their importance
- plug into the model the inputs from the balance sheet with the value drivers and come out with the value of shares
- estimate the value of debt (value of a company = value of shared + value of debt)
- introduction to valuation of derivatives instruments: Black& Scholes Model
- introduction to Bond Valuation: Merton model
